Section 35 provides an exemption whereby share based payments which were granted prior to the date of transition can continue to be accounted for under old GAAP (i.e. FRS 20) but any new shares granted since the date of transition should be accounted for under Section 26. Cash settled transactions settled prior to the date of transition do not have to be accounted for under Section 26.
Section 35 also provides an exemption for entities who have not had to account for share based payments under old GAAP not to account for share grants prior to the date of transition. For any grants after that date Section 26 should be applied.
Principal transition adjustments
Section 26 is almost identical to old GAAP with a small few exceptions:
- Section 26.8 requires the fair value of an equity-settled award with employees to be calculated at the date of grant. So, where a company used an ‘intrinsic value’ approach under FRS 20 for shares/options issued (where it was deemed that the fair value of the equity instrument could not be estimated reliably) the fair value should now be determined under the rules of Section 26. Assuming the exemption in Section 35 is claimed no transition adjustment is required instead, this is applied to new grants since the date of transition. Where grants occurred since the date of transition an adjustment may be required where material. However, this is unlikely to affect many companies.
